01Who these terms are between
These terms apply between you and the Media Experts company that signs your proposal. If your business is based in India, that is Media Experts, India, and you are invoiced in Indian rupees with GST. Everywhere else it is Media Experts LLC, a limited liability company organised in New Mexico, USA, and you are invoiced in US dollars.
“We” and “us” mean that company. “You” means the business that accepts the proposal.
02How these terms and a proposal fit together
Every project starts with a written proposal that sets out the scope, deliverables, timeline and price. When you accept a proposal, it and these terms form the agreement between us. Where the two differ, the proposal applies.
03Using this website
You may read and share the content of this website. You may not copy its design or code for another site, try to break or overload it, or use it to send anything unlawful. Figures shown inside illustrations on this site are sample data.
04Briefs and replies
Sending a brief creates no agreement or obligation on either side. We reply in writing, normally within one business day. A reply is not an offer; only a written proposal is.
05Fees, invoices and payment
The price, payment schedule and currency are those in your accepted proposal. Taxes are added where the law requires them. Invoices are due on the dates in the proposal.
If a payment is late, we may pause work until it is made, and the timeline moves by the length of the pause.
06Changes to scope
Work outside the accepted scope is quoted as a new written proposal. Nothing outside the scope is started or charged without your written acceptance.
07Staging, approval and go-live
We build on a staging copy of your setup. Nothing goes live until you approve it in writing. Your approval of a release confirms that it matches the agreed scope; defects within the scope found later are handled as the proposal sets out.
08Your accounts and our access
Systems run on accounts registered in your name, such as hosting, domains, payment providers and AI services. You pay those providers directly, under their own terms.
You give us the access the work needs, in writing, and we use it only for the work. Our access ends when the work ends or when you remove it.
09Ownership
Once a deliverable is paid for in full, you own the code, content and configuration we created for it.
We keep ownership of general tools, libraries and know-how that existed before the project or are not specific to you. Where any of them is part of your deliverable, you receive a permanent licence to use it. Open-source components stay under their own licences.
10AI systems
AI agents can give wrong or incomplete answers. We design them to work from your own information, to say when they do not know, and to pass anything that moves money to a person for approval.
You remain responsible for reviewing how an agent behaves before approving it for live use, and for the decisions your business takes using its output.
11Confidentiality
We keep your information, documents and data confidential and use them only for your project. We do not use your data to train systems for other clients. On request we sign a separate non-disclosure agreement before you share details. After handover we keep no copy of your customer data.
12What we do not promise
We do not promise rankings, sales or revenue figures. We do not promise that third-party services, such as messaging platforms, payment providers or AI providers, stay available or unchanged, and we are not responsible for their outages or policy changes.
13Limits of liability
To the extent the law allows, our total liability for any claim relating to a project is limited to the fees you paid for that project in the twelve months before the claim. Neither side is liable for indirect or consequential losses, such as lost profit. Nothing in these terms limits liability that the law does not allow to be limited.
14Ending a project
Either side may end a project by written notice. You pay for work completed up to the date of the notice, and we hand over that work with every account and key connected to it. Amounts paid in advance for work not yet started are refunded as the proposal sets out.
15Governing law
These terms are governed by the law of the place where the contracting company is registered: New Mexico, USA, for Media Experts LLC, and India for Media Experts. Disputes go to the courts of that place, after both sides have first tried to resolve them in writing.
16Changes to these terms
We may update these terms. The date at the top shows the current version. A change never alters a proposal you have already accepted.
